Terms and Conditions

Definitions

  • Agreement – Any mutually accepted proposal, contract, statement of work, or accompanying documentation outlining the terms of engagement.
  • Client Content – All materials the client provides, including text, images, documentation, instructions, or other assets.
  • Deliverables – All work products WCAGConsultant.com is responsible for supplying under the Agreement.
  • Consultant Tools – Internal tools, code, scripts, templates, workflows, design components, methodologies, frameworks, or any intellectual property created or utilized by WCAGConsultant.com, regardless of copyright or patent eligibility.
  • Final Deliverables – Complete, approved versions of the deliverables provided to the client after revisions.
  • Project – The overall work defined by the Agreement between the client and WCAGConsultant.com.
  • Services – All consulting, auditing, reporting, accessibility testing, documentation, and related services performed by WCAGConsultant.com.
  • Third-Party Materials – Licensed or purchased resources such as icons, photos, plugins, accessibility tools, or other external assets.

Scope of Services

WCAGConsultant.com will provide all Services as outlined in the proposal and the formally accepted Agreement. Work will follow the planned milestones, phases, and deadlines unless modified in writing.

Proposals & Validity

Proposals are valid for 30 days from the date the client receives them. After 30 days, the Company may adjust pricing, timelines, or scope and issue a revised proposal for approval.

Compensation

Additional Fees

Costs associated with third-party services (e.g., software, accessibility tools, hosting, licensing) will be billed separately from consulting fees.

Expenses

Any travel, document preparation, or additional expenses incurred during the course of a project will be invoiced to the client at their actual cost.

Service Fees

All service fees and applicable taxes must be paid according to the terms in the project plan.

Payment Terms

  • Payments are due within 5 days of receiving an invoice.
  • Invoices will itemize consulting fees, expenses, and third-party charges separately.
  • Milestone-based projects will follow the payment schedule defined in the Agreement.

Changes to Project Scope

  • Change Requests. All scope changes must be submitted in writing. WCAGConsultant.com will review the request and respond within 5 business days, outlining impacts on timeline, pricing, and project structure.
  • Minor Adjustments. Changes costing less than 20% of the project’s original value or deemed minor will be billed at the Company’s standard hourly rate. Any adjustments to delivery dates will be communicated promptly.
  • Major Adjustments. Changes exceeding 20% of the original project cost or considered significant require a new or amended proposal. Work pauses until the updated proposal is signed.
  • Proposal Approval. Revised proposals must be accepted within 14 business days. If not accepted, WCAGConsultant.com is not obligated to continue additional work beyond existing commitments.

Delays

Client-Caused Delays

The client must provide needed content, feedback, clarifications, and approvals promptly. Delays caused by the client result in equal extensions of all upcoming milestones.

Company-Caused Delays

If WCAGConsultant.com encounters internal delays, we will notify the client immediately via email.

Uncontrollable Delays

Events outside the control of either party, such as natural disasters, government restrictions, power outages, war, or other force majeure, pause obligations and shift timelines accordingly.

Evaluation and Approval of Deliverables

Quality Assurance

WCAGConsultant.com will test and review all deliverables with industry-standard methods before sending them to the client.

Approval Window

  • The client has 7 business days to approve or reject deliverables.
  • Rejections must include detailed written notes specifying necessary changes.
  • The Company has 14 business days to revise and resubmit deliverables.
  • The client then receives another 7 business days for final review.

Client Responsibilities

The client agrees to:

  • Provide accurate, complete, and compatible content for deliverables.
  • Ensure provided materials are legally usable.
  • Proofread all submitted content; corrections due to client errors may incur fees.
  • Make timely decisions about third-party assets and approvals.

Accreditation & Promotion

Attribution. Unless explicitly excluded in the Agreement, WCAGConsultant.com may place a small attribution or link on digital deliverables.

Portfolio Use. We reserve the right to display completed work in portfolios, case studies, presentations, and online galleries.

Mutual Promotion. Both parties agree not to unreasonably withhold permission for public mention of the collaboration. Reciprocal website links may be included when appropriate.

Confidentiality

Both parties must treat confidential information with strict privacy. Confidentiality does not apply to information that:

  • Is publicly available
  • Was already known prior to disclosure
  • Was lawfully received from a third party without restrictions

No confidential information may be disclosed to external parties unless legally required.

Business Relationship

  • WCAGConsultant.com may work with subcontractors but remains responsible for all deliverables.
  • The Agreement does not create exclusivity between the parties.
  • The Company operates as an independent contractor, not an employee, agent, or partner of the client.
  • Work performed is not considered “work for hire” unless explicitly stated in writing.

Liability Limitations

All services are provided as-is. WCAGConsultant.com is not liable for:

  • Lost profits
  • Indirect or incidental damages
  • Consequential losses

Total liability shall not exceed the total amount paid by the client for the project in question.

Rights to Produced Work

The client is granted a non-exclusive, perpetual, worldwide license to use the Final Deliverables as defined in the Agreement.
Modification, extraction, or creation of derivative works requires written permission from the Company.

Support & Warranty

  • Reasonable post-project support and fixes are available at standard hourly rates.
  • Any warranty becomes void if third parties modify or interfere with the deliverables.
  • WCAGConsultant.com is not responsible for issues introduced by unauthorized edits or integrations.

Revisions to Terms

The Company may update these Terms and Conditions at any time. Continued use of our site or services constitutes acceptance of the updated terms.
